Welcome to Ryspa ("Ryspa", "we", "us", or "our"). These Terms and Conditions ("Terms") govern your access to and use of our software-as-a-service platform, including Ideonite, Ryspa Gr0, Ryspa Studio, and all associated services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our Services.

1. Acceptance of Terms

By creating an account, accessing our website, or using any of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy and any additional terms applicable to specific Services.

These Terms constitute a legally binding agreement between you (either an individual or a legal entity) and Ryspa. If you are entering into these Terms on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Services

Ryspa provides cloud-based AI-powered software tools designed to enhance productivity, creativity, and business intelligence. Our Services include but are not limited to:

• Ideonite: A comprehensive creative workspace for idea management, visual sketching, task management, and AI collaboration.
• Ryspa Gr0: An AI marketing agent for campaign automation, trend analysis, and content generation (currently in development).
• Ryspa Studio: A unified dashboard for accessing and managing all Ryspa products (currently in development).

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice, though we will make reasonable efforts to provide advance notice for material changes.

3. User Accounts and Registration

To access certain features of our Services, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

You may not share your account credentials with others or allow others to access your account. We reserve the right to suspend or terminate accounts that violate these Terms.

4. License and Intellectual Property

4.1 License Grant: Subject to your compliance with these Terms, Ryspa grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes.

4.2 Restrictions: You may not:

• Copy, modify, or create derivative works of the Services
• Reverse engineer, decompile, or disassemble any aspect of the Services
• Rent, lease, sell, sublicense, or transfer your rights to the Services
• Use the Services to develop competing products or services
• Remove or modify any proprietary notices from the Services
• Use automated systems to extract data (scraping) without express written permission

4.3 Ownership: Ryspa retains all rights, title, and interest in and to the Services, including all intellectual property rights. The Services are protected by copyright, trademark, and other laws of both India and foreign countries.

5. User Content and Data

5.1 Your Data: You retain all rights to data, content, and materials you upload, create, or store using our Services ("User Content"). You grant Ryspa a worldwide, royalty-free license to use, process, and store your User Content solely to provide and improve the Services.

5.2 Data Security: We implement industry-standard security measures to protect your User Content, including AES-256 encryption for data at rest and TLS 1.3 for data in transit. However, no system is completely secure, and we cannot guarantee absolute security.

5.3 AI Training: We may use anonymized, aggregated metadata derived from User Content to improve our AI models and Services. We will not use your specific proprietary data to train models for other clients without your explicit consent.

5.4 Data Responsibility: You are solely responsible for your User Content and the consequences of sharing it through our Services. You represent and warrant that you have all necessary rights to your User Content and that it does not violate any third-party rights or applicable laws.

6. Acceptable Use Policy

You agree not to use the Services to:

• Violate any applicable laws, regulations, or third-party rights
• Transmit malware, viruses, or other harmful code
• Engage in fraudulent, deceptive, or misleading practices
• Harass, abuse, or harm others
• Impersonate others or misrepresent your affiliation
• Interfere with or disrupt the Services or servers
• Attempt to gain unauthorized access to any systems or networks
• Collect information about users without their consent
• Use the Services for any unlawful or prohibited purpose

We reserve the right to investigate and take appropriate action against anyone who violates this Acceptable Use Policy, including removing User Content, suspending or terminating accounts, and reporting to law enforcement authorities.

7. AI-Generated Content

Our Services utilize artificial intelligence to generate content, suggestions, and insights. You acknowledge and agree that:

• AI-generated content may contain inaccuracies or errors
• AI outputs should be reviewed by qualified personnel before implementation
• You are solely responsible for validating and using AI-generated content
• Ryspa makes no warranties regarding the accuracy, completeness, or suitability of AI outputs
• Critical business decisions should not be made solely based on AI recommendations without human oversight

8. Payment and Billing

8.1 Fees: Certain Services require payment of fees as described in your subscription plan. All fees are non-refundable except as expressly stated in our Refund Policy.

8.2 Billing: By providing payment information, you authorize Ryspa to charge the applicable fees to your designated payment method. Subscription fees are billed in advance on a recurring basis (monthly or annually, as selected).

8.3 Price Changes: We reserve the right to modify our pricing at any time. Price changes will be communicated at least 30 days in advance and will apply to subsequent billing periods.

8.4 Taxes: Fees exclude all applicable taxes, which are your responsibility unless you provide a valid tax exemption certificate.

9. Term and Termination

9.1 Term: These Terms commence when you first access the Services and continue until terminated.

9.2 Termination by You: You may terminate your account at any time through your account settings or by contacting our support team. Your access to paid Services will continue until the end of your current billing period.

9.3 Termination by Us: We may suspend or terminate your access to the Services immediately if you breach these Terms, engage in fraudulent activity, or for any other reason at our discretion, with or without notice.

9.4 Effect of Termination: Upon termination, your right to access the Services ceases immediately. We may delete your User Content within 30 days of termination, though we may retain certain data as required by law or for legitimate business purposes.

10. Warranties and Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Ryspa does not warrant that the Services will be uninterrupted, error-free, or completely secure. We do not warrant that the results obtained from using the Services will be accurate or reliable. You use the Services at your own risk.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, RYSPA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, WHETHER IN AN ACTION IN CONTRACT, TORT, OR OTHERWISE, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RYSPA'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO RYSPA IN THE TWELVE [12] MONTHS PRECEDING THE CLAIM; OR (B) FIFTY US DOLLARS [$50]. THE EXISTENCE OF MORE THAN ONE CLAIM WILL NOT ENLARGE THIS LIMIT.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above limitations may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless Ryspa, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Services
• Your User Content
• Your violation of these Terms
• Your violation of any rights of another party

13. Dispute Resolution and Arbitration

13.1 Informal Resolution: Before filing a claim, you agree to contact us at support@ryspa.com to attempt to resolve the dispute informally.

13.2 Binding Arbitration: If informal resolution fails, any dispute arising from these Terms or the Services shall be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act, 1996, rather than in court.

13.3 Class Action Waiver: You agree that disputes will be resolved individually, and you waive the right to participate in class actions or class arbitrations.

13.4 Governing Law: These Terms are governed by the laws of the State of Andhra Pradesh, India, without regard to conflict of law principles.

14. General Provisions

14.1 Entire Agreement: These Terms, together with our Privacy Policy and any additional terms, constitute the entire agreement between you and Ryspa.

14.2 Modifications: We may update these Terms from time to time. Material changes will be communicated via email or through the Services. Your continued use of the Services constitutes acceptance of the modified Terms.

14.3 Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

14.4 Waiver: Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

14.5 Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
